Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the G4 Clinical Note Exporter ("the Add-on"), a Google Sheets™ add-on developed and provided by G4 Software, LLC ("we," "us," or "our"). By installing or using the Add-on, you agree to be bound by these Terms. If you do not agree, do not install or use the Add-on.
The Add-on is a workflow tool. You are responsible for your use of it and for compliance with all laws and professional standards applicable to your practice, including those governing patient documentation, recordkeeping, and confidentiality.
License and Use
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Add-on for your internal business or professional purposes. You may not:
- Reverse engineer, decompile, or attempt to derive the source code of the Add-on
- Resell, sublicense, rent, or redistribute the Add-on
- Remove or alter any copyright, trademark, or other proprietary notices
- Use the Add-on to violate any applicable law, regulation, or third-party right
- Use the Add-on in a manner that could damage, disable, overburden, or impair Google's services
Your Responsibilities
You are solely responsible for:
- The accuracy, legality, and appropriateness of all content you create, store, or export using the Add-on
- Compliance with all laws and regulations applicable to your practice, including but not limited to healthcare privacy laws (such as HIPAA in the United States), patient consent requirements, and recordkeeping standards
- Maintaining the security of your Google account and any devices used to access the Add-on
- Backup and preservation of your own data
- Ensuring your Google Workspace™ configuration meets your professional compliance requirements (including any Business Associate Agreement with Google, if applicable)
No Medical or Legal Advice
The Add-on is a documentation and workflow tool. It does not provide medical, legal, or compliance advice. Nothing produced by, included in, or associated with the Add-on should be construed as such. You should consult appropriate professionals for advice specific to your practice.
HIPAA and Patient Data
We do not make HIPAA compliance claims for the Add-on. The Add-on operates entirely within your Google Workspace™ environment and does not transmit, store, or process patient data on any server controlled by G4 Software, LLC. If your practice requires HIPAA compliance, you are responsible for ensuring your Google Workspace™ account has the appropriate Business Associate Agreement (BAA) with Google and that your use of the Add-on complies with applicable law. Refer to our Privacy Policy for details on what data the Add-on accesses.
Service Availability
The Add-on depends on Google Workspace™, Google Apps Script™, Google Sheets™, and Google Drive™. We do not guarantee uninterrupted availability of the Add-on or of any underlying Google service. We may modify, update, suspend, or discontinue the Add-on or any feature at any time, with or without notice.
Updates and Changes
We may release updates to the Add-on from time to time. Updates may add, modify, or remove features. We will make reasonable efforts to communicate material changes in advance via the contact email associated with installations or through the Add-on's listing in the Google Workspace™ Marketplace.
Draft Tester Program
During the initial release period, we may invite a limited number of users to participate as draft testers, allowing them early access to the Add-on while it is pending Google's review. Participation is voluntary. If you have been added as a draft tester and wish to be removed, please email contact@g4software.com with the subject "Remove me from G4 Clinical Note Exporter draft testers." We will process opt-out requests promptly.
Pricing
The Add-on is currently available at no cost during its initial release period. We reserve the right to introduce pricing for ongoing access, group practice features, or advanced functionality in the future. We will provide reasonable advance notice of any pricing changes through the Add-on's listing in the Google Workspace™ Marketplace and, where practical, via direct communication with existing users.
Intellectual Property
The Add-on, including all code, designs, text, graphics, and other content provided by us, is owned by G4 Software, LLC and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Add-on. You retain ownership of any content you create using the Add-on.
Disclaimer of Warranties
THE ADD-ON IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE ADD-ON WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE ADD-ON IS AT YOUR SOLE RISK.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, G4 SOFTWARE, LLC AND ITS OWNERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, OR PATIENT RECORDS — ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE ADD-ON.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE ADD-ON, REGARDLESS OF THE CAUSE OF ACTION, WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
Indemnification
You agree to indemnify and hold harmless G4 Software, LLC and its owners, employees, and affiliates from and against any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Add-on, your violation of these Terms, or your violation of any law or right of a third party.
Termination
You may stop using and uninstall the Add-on at any time. We may suspend or terminate your access to the Add-on at any time for any reason, including violation of these Terms. Upon termination, all rights granted to you under these Terms will cease. The sections of these Terms that by their nature should survive termination (including Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law) will survive.
Governing Law
These Terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Add-on shall be brought exclusively in the state or federal courts located in Massachusetts, and you consent to the jurisdiction of such courts.
Changes to These Terms
We may update these Terms from time to time. When we do, we will update the Effective Date at the top of this page. Continued use of the Add-on after changes constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.
Severability
If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect.
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and G4 Software, LLC regarding the Add-on and supersede any prior agreements.
